These Terms of Service ("Terms") govern your use of the website and services provided by EP Innovation Inc. ("EP Innovation," "we," "us," or "our"). By accessing our website or using our services, you agree to these Terms.

1. Services

EP Innovation is a federally registered Money Services Business (FinCEN Registration #31000323372329) providing money transmission, foreign exchange, prepaid access, and related financial services. Access to services requires completion of our onboarding and compliance process, including identity verification.

2. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be a legal entity or individual lawfully permitted to use money services in your jurisdiction
• Complete our Know Your Customer (KYC) and Know Your Business (KYB) requirements
• Not be subject to sanctions or listed on prohibited persons lists maintained by OFAC, FinCEN, or other authorities

3. Compliance Obligations

As a regulated MSB, EP Innovation operates under the Bank Secrecy Act and related regulations. By using our services, you agree to:

• Provide accurate and complete information for identity verification
• Not use our services for illegal purposes, including money laundering, terrorist financing, or fraud
• Cooperate with our compliance program, including requests for additional documentation
• Notify us promptly of any material changes to your business or personal circumstances

4. Account Suspension and Termination

We reserve the right to suspend or terminate access to our services, without prior notice, if we reasonably believe you have violated these Terms, applicable law, or our compliance policies, or if required to do so by law or regulation.

5. Fees

Fees for our services will be disclosed prior to execution of any transaction. We reserve the right to modify our fee schedule with reasonable prior notice.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EP INNOVATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless EP Innovation and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your violation of these Terms or applicable law.

8. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Denver, Colorado.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.
